Terms of Service

These Terms of Service ("Terms") govern your use of the RecurX Subscriptions application ("Service") operated by Boumzoud LLC ("RecurX," "we," "us," or "our"). Please read these Terms carefully before installing or using our Service.

1. Acceptance of Terms

By installing, accessing, or using the RecurX application, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

RecurX Subscriptions is a Shopify application that provides subscription management tools for e-commerce merchants. The Service includes features such as subscription plan creation, customer portal management, widget customization, loyalty programs, payment recovery, analytics, and related functionality.

3. Eligibility

To use RecurX, you must:

  • Be at least 18 years of age
  • Have a valid, active Shopify store
  • Have the authority to enter into these Terms
  • Comply with all applicable laws and regulations

4. Account Responsibilities

You are responsible for:

  • Maintaining the security of your Shopify account credentials
  • All activity that occurs under your account
  • Ensuring your subscription plans comply with applicable consumer protection laws
  • Providing accurate and complete information about your business
  • Notifying us promptly of any unauthorized use of your account

5. Shopify Integration

RecurX operates as a Shopify application and is subject to Shopify's Terms of Service, API Terms, and Partner Program Agreement. You acknowledge that:

  • RecurX requires access to certain Shopify store data to function
  • We are not responsible for any issues arising from the Shopify platform itself
  • Changes to Shopify's platform or APIs may affect the functionality of RecurX
  • Your use of Shopify is governed by your separate agreement with Shopify

6. Subscription Plans & Billing

  • Free Plan: RecurX offers a free tier with limited features. No credit card is required for the free plan.
  • Paid Plans: Paid plans are billed through the Shopify App Billing API. By selecting a paid plan, you authorize Shopify to charge the applicable fees to your Shopify account.
  • Free Trial: Paid plans include a 14-day free trial. You will not be charged until the trial period ends.
  • Auto-Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled.
  • Transaction Fees: RecurX does not charge any transaction fees on any plan.
  • Price Changes: We may change our pricing with 30 days' advance notice. Existing subscribers will be notified before any price change takes effect.

7. Data Processing

In providing the Service, we process data on behalf of merchants, including their customers' personal information. Our processing of this data is governed by our Privacy Policy. You are responsible for ensuring that your use of RecurX complies with your own privacy obligations to your customers.

8. Intellectual Property

  • Our IP: RecurX and its original content, features, and functionality are owned by Boumzoud LLC and are protected by copyright, trademark, and other intellectual property laws.
  • Your Content: You retain all rights to your product data, customer data, and store content. By using RecurX, you grant us a limited license to use this data solely to provide the Service.

9. Prohibited Uses

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Attempt to access data belonging to other merchants
  • Scrape, harvest, or collect data from the Service without authorization
  • Use the Service to send spam or unsolicited communications
  • Interfere with or disrupt the Service or its infrastructure
  • Sublicense, resell, or redistribute the Service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claims arising from these Terms or the Service shall not exceed the total fees paid by you to RecurX in the 12 months preceding the claim.
  • We are not responsible for lost revenue, data loss, or business interruption resulting from use of the Service.

11. Termination

  • By You: You may stop using and uninstall RecurX at any time through your Shopify admin.
  • By Us: We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice.
  • Effect: Upon termination, your right to use the Service ceases. We will delete your data within 30 days of termination unless we are required to retain it by law.

12. Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Albuquerque, New Mexico, unless both parties agree to an alternative resolution method. Small claims court actions are exempt from this arbitration requirement.

13. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or through the Service. Your continued use of RecurX after the effective date of updated Terms constitutes acceptance of the changes.
